Terms of Service

We keep things straightforward. These terms outline how we work together — from project kickoff to delivery. No hidden clauses, no surprises. Just a clear framework for a productive partnership.

Acceptance of Terms

By accessing or using the Zolarys website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you should not use our website or services. These terms apply to all visitors, users, and clients of Zolarys.

Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements to use our services. By engaging with Zolarys, you represent and warrant that you meet these requirements.

Our Services

What We Offer

Zolarys provides custom web development, mobile app development, UI/UX design, brand identity design, and related digital services. Each project is governed by a separate project agreement or statement of work (SOW) that outlines specific deliverables, timelines, milestones, and terms tailored to your project.

Project Agreements

All client engagements are formalized through a project proposal, statement of work, or service agreement that supersedes these general terms where they conflict. The project agreement will detail scope, timeline, pricing, revision policy, and deliverable specifications.

Service Modifications

We reserve the right to modify, update, or discontinue any aspect of our services at any time. For ongoing projects, any changes that materially affect deliverables will be communicated and mutually agreed upon before implementation.

Intellectual Property

Client Deliverables

Upon full payment, all custom work product created specifically for your project — including designs, code, assets, and documentation — is transferred to you with full ownership rights, unless otherwise specified in your project agreement. This transfer includes source code, design files, and all associated intellectual property.

Pre-Existing Materials

Zolarys retains ownership of all pre-existing tools, frameworks, libraries, components, and methodologies developed prior to or independent of your project. Where these are incorporated into your deliverables, we grant you a perpetual, non-exclusive, royalty-free license to use them within the context of your project.

Open-Source Components

Our work may incorporate open-source software governed by their respective licenses (MIT, Apache 2.0, etc.). We will disclose all open-source dependencies used in your project and ensure compliance with their licensing terms.

Portfolio Rights

Unless you request confidentiality in writing, Zolarys reserves the right to showcase work completed for you in our portfolio, case studies, and marketing materials. We will only display publicly-available aspects of the project and will honor any NDA or confidentiality agreements in place.

Payment Terms

Pricing

All project fees are quoted in the currency specified in your project agreement (typically USD or INR). Quoted prices are valid for 30 days from the date of the proposal unless otherwise stated. We reserve the right to adjust pricing for scope changes agreed upon during the project.

Payment Schedule

Standard payment structure is 50% deposit to initiate the project and 50% upon completion before final deliverable handoff. For larger projects, we may structure payments across 3-4 milestones tied to specific deliverables. Payment terms are outlined in your project agreement.

Late Payments

Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on a project if payments are overdue by more than 30 days.

Taxes

All quoted fees are exclusive of applicable taxes unless explicitly stated otherwise. You are responsible for any applicable taxes, duties, or government charges related to the services provided.

Project Timelines & Delivery

Estimated Timelines

All project timelines provided are estimates based on the agreed scope of work. We make every effort to deliver on schedule, but timelines may be affected by factors including scope changes, delayed feedback or approvals from you, and unforeseen technical challenges.

Client Responsibilities

Timely delivery depends on your cooperation. This includes providing content, assets, feedback, and approvals within the timeframes outlined in your project plan. Delays in client deliverables may result in corresponding delays in project completion.

Revisions

Each project phase includes a defined number of revision rounds as specified in your project agreement. Additional revisions beyond the agreed scope will be quoted separately. Revisions must be submitted in consolidated, written form to ensure clarity and efficiency.

Limitation of Liability

General Limitation

To the maximum extent permitted by law, Zolarys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.

Maximum Liability

Our total cumulative liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Zolarys for the specific project giving rise to the claim.

No Warranty of Results

While we strive for excellence in every project, we do not guarantee specific business outcomes, conversion rates, revenue increases, or search engine rankings resulting from our work. Digital products are influenced by many factors beyond our control.

Termination & Cancellation

Client Cancellation

You may terminate a project at any time by providing written notice. Upon cancellation, you will be invoiced for all work completed up to the date of termination, including any work in progress. Deposits are non-refundable, as they cover project setup, resource allocation, and initial discovery work.

Zolarys Cancellation

We reserve the right to terminate a project if payments are overdue by 30+ days, if the client is unresponsive for 30+ consecutive days despite reasonable attempts at communication, or if the project scope fundamentally changes from the original agreement without mutual consent.

Effect of Termination

Upon termination, we will deliver all completed work product upon receipt of final payment. Incomplete work in progress may be delivered at our discretion. Confidentiality obligations survive termination.

Website Usage

Acceptable Use

You agree to use our website for lawful purposes only. You may not use our website to transmit harmful code, attempt to gain unauthorized access to our systems, scrape or harvest data, or engage in any activity that could damage, disable, or impair our services.

Website Content

All content on the Zolarys website — including text, graphics, logos, images, videos, and code — is owned by or licensed to Zolarys and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without prior written consent.

Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by Zolarys. We assume no responsibility for the content, privacy policies, or practices of any third-party sites.

Confidentiality

Mutual Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes business plans, technical specifications, financial information, user data, and any other information marked or reasonably understood to be confidential.

Duration

Confidentiality obligations remain in effect for a period of 2 years following the completion or termination of the project, unless a separate NDA specifies otherwise.

Governing Law & Disputes

Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

Dispute Resolution

Before initiating any formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.

Changes to Terms

We may update these Terms of Service from time to time. When we make material changes, we will post the updated terms on this page and update the "Last Updated" date. For active clients, we will notify you of significant changes via email. Your continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
